RoosterPro Service Agreement

This Service Agreement (the "Agreement") is between RoosterPro ("RoosterPro," "we," "us") and the organization identified during signup ("Customer," "you"). By checking the box to accept this Agreement during signup, the individual accepting confirms they are authorized to bind the Customer, and the Customer agrees to these terms. The date of acceptance is the "Effective Date."

1. Services

RoosterPro provides owner-side fire life safety document review and related services for Customer's properties (the "Services"), at the service level Customer selects (Consulting, Managed, or Full Service), as described on roosterpro.com at the time of selection or in a written order confirmed by RoosterPro. RoosterPro reviews inspection reports, invoices, proposals, contracts, and related documents and provides findings and recommendations.

2. What RoosterPro does not do

RoosterPro is not a fire protection contractor and does not perform, repair, or certify fire protection systems. Customer remains responsible for maintaining its properties and systems in compliance with applicable codes, standards, and the requirements of the authority having jurisdiction. RoosterPro's findings are based on the documents and information provided to it and do not guarantee code compliance or the performance of any system or vendor.

3. Term and renewal

This Agreement begins on the Effective Date and continues for an initial term of twelve (12) months. It then renews automatically for successive twelve (12) month terms unless either party gives written notice of non-renewal at least sixty (60) days before the end of the then-current term.

4. Fees and billing

Fees are charged per covered unit per month at the rate for the selected service level, subject to the stated minimum, and are invoiced quarterly in advance. Invoices are due within thirty (30) days of the invoice date. Unit counts are based on the properties Customer adds to RoosterPro and may be updated as properties are added or removed. Add-on services (such as RFP consulting) are quoted and approved separately. Late balances may accrue interest at 1.5% per month or the maximum rate allowed by law, whichever is lower, and RoosterPro may suspend Services for balances more than thirty (30) days past due. RoosterPro may change its rates effective at the start of a renewal term by giving at least sixty (60) days' written notice.

5. Early termination

Either party may terminate this Agreement if the other materially breaches it and fails to cure the breach within thirty (30) days after written notice. If Customer ends the Agreement before the end of the current term for any reason other than RoosterPro's uncured material breach, the fees for the remainder of the current term become due.

6. Customer responsibilities

Customer will provide accurate information about its properties and timely access to relevant documents, and authorizes RoosterPro to request documents and information from Customer's vendors on Customer's behalf where the selected service level includes it. Customer is responsible for activity under its user accounts and for keeping login credentials secure.

7. Customer data

Customer owns the documents and data it provides. Customer grants RoosterPro a license to use that data to provide the Services. RoosterPro may also use data in de-identified and aggregated form, which does not identify Customer, its properties, or any individual, to improve its services and to develop industry benchmarks. RoosterPro will keep Customer's identifiable data confidential and will not sell it.

8. Confidentiality

Each party will protect the other's non-public information with reasonable care and use it only to perform or receive the Services, except where disclosure is required by law.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, and RoosterPro's total liability arising out of this Agreement will not exceed the fees Customer paid to RoosterPro in the twelve (12) months before the event giving rise to the claim.

10. General

This Agreement, together with any written order or plan selection, is the entire agreement between the parties on this subject. Notices may be given by email to the addresses on file. This Agreement is governed by the laws of the State of [STATE], without regard to its conflict-of-laws rules. Customer's electronic acceptance has the same effect as a handwritten signature.
